Direct Meds Advocate Program Agreement

This Product Advocate Program Agreement (the “Agreement”) is made between Direct Meds LLC (the “Company”) and the Product Advocate (the “Product Advocate”). By participating in the Company’s Product Advocate Program, the Product Advocate agrees to comply with the following terms and conditions. This Agreement outlines the responsibilities, limitations, and expectations for promoting Direct Meds products as part of the Company’s official affiliate program.

1. Definitions

1.1 “Product Advocate” refers to any individual or entity approved by the Company to participate in the Product Advocate Program.

1.2 “Company” refers to Direct Meds LLC.

1.3 “Program” refers to the Product Advocate Program operated by the Company.

1.4 “Promotional Content” refers to any approved videos, text, images, or materials provided by the Company for use by Product Advocates.

1.5 “Product Advocate Link” refers to the unique tracking URL provided to the Product Advocate by the Company.

1.6 “Approved Websites” refers to the list of websites and platforms where Product Advocates are permitted to post Promotional Content, as determined by the Company.

2. Enrollment and Participation

2.1 To participate in the Program, the Product Advocate must complete the application process and be approved by the Company. Approval is at the sole discretion of the Company.

2.2 Product Advocates must provide accurate information in their application and maintain the confidentiality of their Program account login credentials.

2.3 The Company reserves the right to terminate the Product Advocate’s participation in the Program at any time, for any reason, with or without cause.

3. Use of Promotional Content and Marketing Restrictions

3.1 Product Advocates may only use Promotional Content provided or approved by the Company. No modifications, additions, or alterations are permitted without prior written consent.

3.2 Product Advocates are prohibited from using any content not explicitly approved by the Company.

3.3 Promotional Content may only be posted on Approved Websites. Any additional platforms require prior written approval.

4. Prohibited Marketing Practices

4.1 Product Advocates are prohibited from engaging in deceptive practices, including but not limited to:

5. Commission and Payment Terms

5.1 Commissions are paid based on tracked sales via the Product Advocate Link.

5.2 Commission rates, schedules, and methods are set by the Company and may change with notice.

5.3 A $25 minimum payout threshold applies.

5.4 Commission Period: Monday 12:00 a.m. PST – Sunday 11:59 p.m. PST.

5.5 Payment Schedule: Commissions are paid on the second Monday after the commission period ends (8 days later).

6. Confidentiality and Limited License Rights

6.1 All non-public Company information must be kept confidential.

6.2 The Company grants a limited, non-exclusive, revocable license to use Promotional Content solely for the purpose of promoting Direct Meds products.

7. Termination and Modifications

7.1 The Company may modify or terminate this Agreement at any time. Continued participation implies acceptance.

7.2 Either party may terminate this Agreement at any time with written notice.

8. Legal Compliance and Dispute Resolution

8.1 This Agreement is governed by the laws of Wyoming.

8.2 All disputes shall be resolved by binding arbitration in Wyoming.

9. Miscellaneous

9.1 This Agreement supersedes all prior agreements.

9.2 Product Advocates may not assign this Agreement without written consent.

10. Acknowledgement and Acceptance

By participating in the Direct Meds Product Advocate Program, the Product Advocate acknowledges they have read, understood, and agree to be bound by this Agreement.

11. Income Claims Prohibition

11.1 Income projections or guarantees are strictly prohibited.

11.2 Any income-related statements must be truthful and based on personal experience, without misleading others.

Direct Meds LLC: Policies and Procedures

1. Introduction

Welcome to the Direct Meds Product Advocate Program. These Policies and Procedures govern your relationship with Direct Meds LLC. Direct Meds operates its own sales and promotional programs. Product advocates act independently and are not employees, agents, or partners of Direct Meds LLC.

2. Product Advocate Responsibilities

2.1 Role and Scope

Product advocates promote Direct Meds products via approved links and materials.

2.2 Product Claims

False or exaggerated product claims are strictly prohibited. All technical or product-related inquiries must be directed to: advocate@directmeds.com

3. Marketing Materials

3.1 Only official materials provided by Direct Meds may be used.

5.2 Unauthorized use of any logos, trademarks, or copyrighted materials is prohibited and may lead to legal consequences.

6. Commission Structure

6.1 Commissions are paid monthly once the $25 minimum is met, per the terms of the Product Advocate Agreement.

6.2 Commissions may be adjusted or forfeited for returned, canceled, or fraudulent orders, or for policy violations.

7. Compliance

7.1 FTC Disclosures: Advocates must disclose promotional relationships clearly (e.g., #ad in social posts).

7.2 Ethical behavior and lawful marketing are required at all times.

8. Termination and Modifications

8.1 Direct Meds may terminate any advocate relationship at any time, with or without cause.

8.2 Policies may be updated without prior notice. Continued participation indicates acceptance of all changes.

9. Legal Compliance and Dispute Resolution

9.1 This Agreement is governed by the laws of Wyoming.

9.2 Any disputes will be resolved in Wyoming, by applicable legal process.

10. Miscellaneous

10.1 This is not a partnership, agency, or employment relationship. Advocates are independent contractors.
